For the purposes of this license, the following definitions shall apply: "Software" means this software containing the license, including all versions, updates, and derivative works thereof, and any associated documentation, data, and materials. "Licensor" means the individual(s) or entity(ies) granting this license. "Licensee" means the individual, organization, or entity exercising the licensed rights granted under this agreement. "Use" means to employ, utilize, operate, execute, perform, display, reproduce, distribute, sublicense, or otherwise exploit the Software, in whole or in part, directly or indirectly. "Christian Holy Bible" means the canon of the New American Standard Bible 2020 (NASB 2020) published by the Lockman Foundation, which is a non-profit Christian organization dedicated to translating and distributing the Bible.
Subject to the terms and conditions set forth in this Agreement, Licensor grants to Licensee a non-exclusive, royalty-free, worldwide, and perpetual license to Use the Software, provided that Licensee complies with the terms of this Agreement.
The license granted in Section II. includes the right to:
Use the Software for any purpose, including personal, academic, commercial, or governmental purposes; Modify, adapt, translate, reverse engineer, decompile, or create derivative works based on the Software; Distribute, sub-license, or otherwise make available the Software, in whole or in part, to third parties; Merge the Software with other software or materials; Publish, display, publicly perform, or otherwise distribute the Software, in whole or in part, in any form, medium, or manner.
The license granted in Section II. is subject to the following conditions:
The Software is provided "as is," without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall Licensor be liable for any claim, damages, or other liability, whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with the Software or the Use or other dealing with the Software. Licensee acknowledges and agrees that the Software may contain errors, bugs, or other defects, and that it is Licensee's responsibility to test and verify the accuracy and reliability of the Software. Licensee shall not Use the Software in any way that is inconsistent with the teachings of the Christian Holy Bible. Licensee shall not Use the Software to create or promote content that is contrary to the teachings of the Christian Holy Bible. Licensee shall not Use the Software to engage in activities that are prohibited by the teachings of the Christian Holy Bible. Licensee shall not Use the Software in any way that contradicts or undermines the teachings of Jesus Christ in the Christian Holy Bible. Licensee shall not Use the Software to promote or support any beliefs or practices that are contrary to the teachings of Jesus Christ in the Holy Bible. Licensee shall not Use the Software to attack, criticize, or discredit the teachings of Jesus Christ in the Holy Bible. Failure to comply with these conditions will result in the immediate termination of the license granted herein.
The license granted in Section II. is effective until terminated. This Agreement and the license granted hereunder shall terminate automatically upon failure to comply with any of the conditions set forth in Section 4. Upon termination, Licensee shall immediately cease Using the Software and destroy all copies of the Software in its possession.
This Agreement shall be governed by and construed in accordance with the laws of the State of Idaho, United States of America, excluding its conflict of law provisions. Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in accordance with the Rules of Procedure for Christian Conciliation set forth by the Institute for Christian Conciliation.
This Agreement constitutes the entire understanding between Licensor and Licensee regarding the Use of the Software and supersedes all prior negotiations, understandings, and agreements, whether written or oral, relating thereto.
No waiver of any provision of this Agreement shall be effective unless in writing and signed by an authorized representative of Licensor.
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Licensee may not assign or transfer this Agreement or any rights or obligations hereunder, in whole or in part, to any person or entity, without the prior written consent of Licensor.
There are no third party beneficiaries to this Agreement.
Any dispute, controversy, or claim arising out of or relating to this Agreement, including the formation, interpretation, breach, or validity of this Agreement, shall be resolved through binding arbitration in accordance with the Rules of Procedure for Christian Conciliation set forth by the Institute for Christian Conciliation. The arbitrator shall issue a reasoned award, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction over the matter.
In addition to any remedies available at law, Licensor shall have the right to seek injunctive relief, specific performance, or other equitable relief against Licensee for any violation of this Agreement.
Sections IV, VI, VII, VIII, IX, X, XI, XII, XIII, and XIV of this Agreement shall survive the expiration or termination of this Agreement for any reason.
By using, copying, modifying, merging, publishing, distributing, sublicensing, or selling the Software, you acknowledge that you have read, understood, and agree to be bound by the terms of this license.
